Atom fires over 70%: company changes name to Fictor Alimentos

The actions of Atom (ATOM3) soared by more than 70% in last Wednesday's trading session (11), jumping from R$ 1.67 to R$ 2.85. This movement reflects the strong upward trend and volatility of the company's assets, which will rise by almost 30% in 2024, but which have risen by almost 155% in the year. 

On Thursday morning (12), the shares opened sharply down at 5.26% at 10.30am.

This surge comes amid a process of corporate restructuring and a change of strategic focus at Atom, which will now be called Fictor Foods from December 18th. The company will even change its ticker FICT3 for the next day. 

In a statement released yesterday (11), Atom confirmed the completion of the sale of its controlling stake to the holding companies Fictor Holding and AQWA Capital. 

The transaction, worth R$ 20 million, was concluded after the fulfillment of conditions precedent agreed between the parties, including a corporate reorganization and the approval of changes to the company's bylaws at an Extraordinary General Meeting (EGM).

Among the changes already implemented are:

  • Headquarters moved to São Paulo (SP);
  • Change in corporate purpose, with entry into the animal protein sector;
  • Election of new members of the Board of Directors and Statutory Executive Board.

The new management of Fictor Alimentos includes strategic names. Rafael Ribeiro Leite de Gois was elected chairman of the Board of Directors and takes over as CEO on an interim basis. The Board also includes Márcia Campos, Maurício Mendes Dutra and Luiz Phillipe Gomes Rubini. The Board of Directors includes Raul Alves Araujo do Nascimento, responsible for finance, and André Luiz Carneiro de Vasconcellos, who will be in charge of strategy and investor relations.

Background to the deal between Atom and Fictor

The transition process began in May 2024, with the signing of a share purchase agreement that transferred control of Atom to the buyer groups. In addition to the acquisition, a takeover bid is planned for the remaining shares, with a minimum price of R$ 1.09 per share.

The sale comes after a partial demerger of Atom, which allocated 70% of its net assets to Atom Educação, a subsidiary created to focus on consulting and financial education activities. This demerger will allow Atom Educação to become an independent public company.

Investors who dissented from the operation were guaranteed the right to withdraw, at a price of R$ 1.64 per share, corresponding to the book value of the equity.

What happened to Carol Paiffer in this negotiation?

In the note informing of the sale of Fictor's control over Atom, it was pointed out that the influencer Carol Paiffer, one of the founders of Atom and a well-known figure in the financial market, has left the company after the sale of the controlling stake.

In the agreement, Paiffer's shareholding was sold along with the shares held by other sellers, such as WHPH Participações, J.P. Tuche Asset Management and Exame. The agreement, signed in May 2024, resulted in the transfer of control of the company and the redefinition of its operational focus to the animal protein sector. 

In addition, the terms of the agreement include a tender offer for the remaining shares in the company, ensuring that all shareholders can sell their shares for the same amount paid to the initial sellers, including Carol Paiffer.

As a result of this sale, Atompar transferred part of its share capital to the subsidiary Atom Educação, which took over some of Atom Trade's specific activities, such as intellectual property rights. 

On social media, Atom Educação announced its new identity and said it now operates under the ticker ATED3, marking the start of a new phase.

Carol Paiffer is an entrepreneur known for her work in the financial market and for co-founding Atom Investimentos, a company focused on financial education and training traders. Her professional career began at a young age, when she started working as a trader, accumulating practical experience in the capital markets.

Under his leadership, Atom stood out by promoting initiatives aimed at training new investors and disseminating knowledge about investments in Brazil. 

In addition, Paiffer gained national prominence as an investor on the TV show Shark Tank Brasil, where she evaluates entrepreneurial projects and decides whether to invest in them.
